Terms of Service

PromptWake (“PromptWake,” “we,” “us,” or “our”) provides a developer tool that captures your AI coding interactions — prompts, AI responses, and file diffs — from AI assistants running on your own machine. The free tier runs entirely locally; the paid Pro tier adds opt-in encrypted cloud sync.

By downloading, installing, or using the Service, you confirm that you have read and agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the PromptWake software on machines you own or control, for your internal development purposes. You may use the free local tier without creating an account.

You may not:

• reverse engineer, decompile, or attempt to extract source code except to the extent this restriction is prohibited by law;
• resell, sublicense, or offer the Service as a hosted product to third parties without our written permission;
• remove or obscure any proprietary notices; or
• circumvent usage limits, licensing, or the redaction safeguards described in our Privacy Policy.

PromptWake records data from your local environment — the prompts you write, the responses your AI tools return, and the changes made to your files. On the free tier this data is stored only in a local SQLite database on your device (~/.promptwake) and never transmitted to us. On the Pro tier, data you choose to sync is mirrored to your cloud workspace.

You are responsible for the projects you point PromptWake at and for ensuring you have the right to capture and store that material — including complying with your employer’s policies and any third-party license terms. Before storage, PromptWake automatically redacts detected secrets (API keys, tokens, passwords, private keys, and .env-style values), but redaction is provided on a best-effort basis and does not replace your own review.

You agree not to use the Service to:

• violate any law, regulation, or third-party right;
• capture or store material you are not authorized to access;
• interfere with, disrupt, or place undue load on our infrastructure; or
• build a competing product using non-public aspects of the Service.

The free tier is free to use indefinitely. PromptWake Pro is offered as a paid subscription, billed monthly or annually through our third-party payment processor, Dodo Payments (dodopayments.com). By subscribing, you authorize recurring charges to your selected payment method until you cancel.

• Trial. New Pro subscriptions may include a 14-day free trial. Unless you cancel before it ends, the trial converts to a paid subscription at the then-current rate.
• Renewal. Subscriptions renew automatically at the end of each billing period.
• Cancellation. You may cancel anytime from your account settings. Cancellation stops future renewals; you keep Pro access through the end of the paid period.
• Refunds. Except where required by law, payments are non-refundable once a billing period has begun. Taxes may apply based on your location.

Downgrading or ending a Pro subscription stops cloud sync. Your local capture continues to work, and previously synced workspace data is handled as described in our Privacy Policy.

The Service, including its software, design, and trademarks, is owned by PromptWake and protected by intellectual property laws. These Terms grant you no rights to our branding. You retain all rights to your captured content; we claim no ownership of your prompts, responses, or code.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that capture will be complete or uninterrupted, that redaction will catch every secret, or that the Service will be error-free. You are responsible for maintaining your own backups and for reviewing captured data before relying on it.

To the maximum extent permitted by law, PromptWake and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim will not exceed the greater of the amounts you paid us in the twelve months before the claim or USD 100.

You may stop using the Service at any time by uninstalling the software and, for Pro, cancelling your subscription. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us or others. Upon termination of a Pro workspace, you may export or delete your synced data as described in the Privacy Policy; local data always remains on your device under your control.

These Terms are governed by the laws of [Governing Jurisdiction], without regard to its conflict-of-laws rules. The courts located in [Venue] will have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law provides otherwise.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
